1. STRICTLY B2B / COMMERCIAL / INSTITUTIONAL SALES

THIS WEBSITE AND ALL SALES, PRODUCTS, AND SERVICES OFFERED THROUGH THIS WEBSITE ARE STRICTLY FOR BUSINESS, COMMERCIAL, PROFESSIONAL, GOVERNMENT, HEALTHCARE, EDUCATIONAL, RESEARCH, LABORATORY, INDUSTRIAL, AND OTHER INSTITUTIONAL CUSTOMERS.

WE DO NOT SELL TO INDIVIDUAL CONSUMERS FOR PERSONAL, HOUSEHOLD, OR RESIDENTIAL USE. ORDERS FROM INDIVIDUALS, CONSUMERS, OR OTHER NON-COMMERCIAL PURCHASERS WILL NOT BE ACCEPTED OR FULFILLED.

All purchases must be made on behalf of a legitimate business, corporation, partnership, laboratory, research organization, healthcare organization, educational institution, government entity, nonprofit organization, commercial facility, industrial operation, or other recognized professional or institutional entity ("Purchaser").

1.1 No Individual or Consumer Orders

By accessing this Website, requesting a quotation, creating an account, submitting an order, or purchasing any product, the Purchaser represents and warrants that:

• it is purchasing products on behalf of a legitimate business or institutional entity;
• the person placing the order is authorized to make purchases on behalf of that entity;
• the products are being purchased for legitimate business, commercial, professional, institutional, research, laboratory, educational, industrial, governmental, healthcare, or organizational purposes;
• the products are not being purchased primarily for personal, household, consumer, or residential use; and
• the billing and shipping information supplied to the Vendor accurately identifies the Purchaser and its qualifying commercial or institutional destination.

The Vendor reserves the right to request reasonable information or documentation necessary to verify the commercial or institutional nature of an order.

1.2 No Residential Addresses

THE VENDOR DOES NOT ACCEPT OR SHIP ORDERS TO RESIDENTIAL ADDRESSES.

All shipments must be directed to a valid commercial, business, institutional, laboratory, educational, governmental, industrial, healthcare, or other authorized non-residential location capable of receiving the products ordered.

A residential address, private residence, apartment, condominium, or other residential location does not qualify as an acceptable shipping destination, even where the Purchaser operates a business from that location.

Providing a business name in connection with a residential address does not, by itself, make that address a qualifying commercial destination.

1.3 Business and Institutional Verification

The Vendor may require reasonable information to verify the identity and commercial or institutional status of a Purchaser before accepting or fulfilling an order.

Such information may include a legal business or institutional name, business website, registration information, purchase order information, institutional or business email address, commercial telephone number, commercial shipping address, end-user information, licensing or regulatory documentation, or other information reasonably necessary to verify the transaction.

The Vendor may refuse, suspend, or cancel an order if it cannot reasonably verify that the Purchaser and shipping destination satisfy these Terms.

1.4 Product Use, Standard Operating Procedures, and Risk Evaluation

ALL PRODUCTS PURCHASED FROM THE VENDOR SHALL BE EMPLOYED, HANDLED, INSTALLED, OPERATED, STORED, MAINTAINED, AND DISPOSED OF SOLELY IN CONFORMITY WITH THE PURCHASER'S INTERNAL STANDARD OPERATING PROCEDURES ("SOPs"), APPLICABLE SAFETY PROTOCOLS, AND A COMPREHENSIVE RISK EVALUATION CONDUCTED BY OR ON BEHALF OF THE PURCHASER.

The Purchaser is solely responsible for determining, before purchase and use, the suitability of each product for its particular application, facility, process, personnel, equipment, environment, and intended purpose.

The Purchaser shall independently evaluate the hazards, risks, limitations, compatibility, performance characteristics, operating conditions, and potential consequences associated with the use of any product and shall establish and maintain appropriate procedures, controls, training, personal protective equipment, engineering controls, monitoring, documentation, and emergency measures as appropriate for its operations.

The Vendor does not undertake to perform, and shall not be responsible for, the Purchaser's internal risk assessment, process validation, safety assessment, regulatory assessment, or determination of product suitability for the Purchaser's particular application.

The Purchaser shall ensure that all products are used in accordance with applicable laws, regulations, manufacturer's instructions, safety requirements, industry standards, and the Purchaser's own applicable SOPs and risk-management procedures.

1.5 No Representation of Equivalency or Complete Substitute

THE VENDOR EXPRESSLY DISCLAIMS ANY REPRESENTATION, WARRANTY, OR ASSURANCE THAT ANY PRODUCT PURCHASED THROUGH THE WEBSITE CONSTITUTES A COMPLETE, FUNCTIONALLY EQUIVALENT, OR OTHERWISE COMPARABLE SUBSTITUTE FOR ANY CONVENTIONAL PRODUCT, EQUIPMENT, DEVICE, MATERIAL, COMPONENT, SYSTEM, OR OTHER ITEM AVAILABLE FROM THE VENDOR OR ANY OTHER MANUFACTURER OR SUPPLIER.

Unless expressly stated in writing by the Vendor, no product description, specification, comparison, photograph, marketing material, quotation, recommendation, or other information provided by the Vendor shall be construed as a representation that a product is equivalent to, interchangeable with, or capable of replacing another product or conventional item available on the market.

The Purchaser is solely responsible for independently determining whether a product meets its required specifications, performance criteria, regulatory requirements, compatibility requirements, safety requirements, and intended application.

Any determination that a product is an acceptable alternative, substitute, replacement, or equivalent for another item shall be made solely by the Purchaser following its own technical evaluation, validation, SOP requirements, and comprehensive risk assessment.

1.6 Orders Placed in Violation of These Requirements

The B2B/commercial/institutional status requirements and product-use requirements in this Section constitute material conditions of every transaction.

If the Vendor determines that an order was submitted by an individual consumer, for personal or household use, to a residential address, or otherwise in violation of these requirements, the Vendor may reject, suspend, or cancel the order.

If payment has already been collected, any refund will be handled in accordance with the Vendor's applicable Return, Refund, Cancellation, and Shipping Policies and applicable law.

The Vendor may also refuse future orders where reasonably necessary to enforce these requirements or comply with applicable law, carrier requirements, safety requirements, or regulatory obligations.

2. ACCEPTANCE OF THESE TERMS

These Terms and Conditions ("Terms") govern access to and use of www.labsupplyusa.com (the "Website") and all purchases, orders, quotations, products, services, content, features, and functionality made available through the Website (collectively, the "Services").

The Website is operated by AMERICAN SCIENTIFIC SOLUTIONS LLC ("Vendor," "we," "us," or "our").

By accessing the Website, creating an account, requesting a quotation, submitting an order, or purchasing products through the Website, the Purchaser acknowledges that it has read, understood, and agreed to these Terms.

If the Purchaser does not agree to these Terms, or does not qualify as a Business Customer under Section 1, it must not use the Website or place an order.
